Some features require a paid subscription ("Premium Features"). By purchasing a subscription, you agree to:
All payments are processed by Apple through the App Store. Your purchase is subject to Apple's terms and conditions. We do not have access to your payment information.
If offered, free trials automatically convert to paid subscriptions unless cancelled before the trial ends. You are responsible for cancelling before the trial period ends to avoid charges.
The App, including all content, features, functionality, design, graphics, logos, icons, images, audio, video, text, software, and other materials (collectively, "Company Content"), is owned by WayPal or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial purposes. This license does not include the right to:

Any feedback, suggestions, or ideas you provide regarding the App ("Feedback") becomes our property. We may use, modify, and incorporate Feedback without any obligation to you.

We do not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your own risk and subject to their terms and privacy policies. We are not liable for any harm or damages related to Third-Party Services.
THE APP AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
You agree to defend, indemnify, and hold harmless WayPal, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Before initiating any formal dispute resolution, you agree to first contact us at legal@waypalai.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations for at least 30 days.
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.
YOU AND WAYPAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Unless both you and WayPal agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
Notwithstanding the above, either party may:
You may opt out of this arbitration agreement by sending written notice to legal@waypalai.com within 30 days of first accepting these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out.
These Terms and any disputes arising out of or relating to them or the App shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
For any matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, and you waive any jurisdictional, venue, or inconvenient forum objections.
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including:

These Terms, together with our Privacy Policy and any other legal notices published on the App, constitute the entire agreement between you and WayPal concerning the App and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, network infrastructure failures, or strikes.
We may provide notices to you via email, in-app notifications, or by posting on the App. You may provide notices to us at legal@waypalai.com.
These Terms do not create any third-party beneficiary rights in any individual or entity.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.
If you are a U.S. government end user, the App is a "Commercial Item" as defined in 48 C.F.R. ยง2.101.
